This is the document you accept by ticking the box at /book, the document a Membership Order Form incorporates by reference, and the document our invoices point at. One text, three routes in.
1. Who you are contracting with
1.1 These Membership Terms are the agreement between you and Abeedah Consultants L.L.C., a limited liability company registered with the Kosovo Business Registration Agency under Unique Identification Number 812426030, with its registered address at XHEVDET DODA, 13, Kati 1, Nr. 1, 10000 Prishtinë, and its trading address at XHEVDET DODA, 5, Kati 2, Lokal 24 (Dukagjini Centre), 10000 Prishtinë, Republic of Kosovo ("we", "us", "our").
1.2 ARTANA GROUP is the brand under which we supply these services. Where these Terms say "Artana", they mean us.
1.3 "You" is the person or company that accepts these Terms. Where a company accepts them, the individual accepting confirms they are authorised to bind it, and the company is responsible for everyone it names as a user.
2. What a membership is, and what it is not
2.1 A membership is a supply of services. We give you access to a serviced coworking floor and the facilities that come with it, staffed and managed by us, for the period you have paid for.
2.2 It is a contract for the supply of services under the general provisions of Law No. 04/L-077 on Obligational Relationships. It is not a letting of immovable property, not a lease, and not a tenancy.
2.3 For the avoidance of doubt, a membership gives you none of the following: no exclusive possession of any part of the building; no defined or reserved part of it; no right in rem and no interest of any kind in it; no right to store goods or equipment outside the storage we provide; and no right to display any name, sign or logo, without our separate written consent.
2.4 We keep sole control of the whole floor at all times. Nothing specific is handed over to you. Your right under these Terms is a personal right against us to receive the services, and nothing more.
2.5 A "dedicated desk" means we keep a working position available for your use during your membership, on the coworking floor. It does not mean a particular desk is allocated to you, and we may move you to a comparable position for operational, safety or maintenance reasons.
2.6 This Article applies notwithstanding anything else in these Terms and prevails over any provision capable of a contrary reading.
3. How a membership starts
3.1 A membership starts in one of two ways:
- Online. You book at offices.artanagroup.com/book, tick the box confirming you accept these Terms, and receive our confirmation by email. We record the version you accepted and the time you accepted it.
- On an Order Form. We issue a Membership Order Form setting out the commercial particulars, and both of us sign it. The Order Form incorporates these Terms. Where the two conflict, the Order Form wins on commercial particulars and these Terms win on everything else.
3.2 Our confirmation, not your booking, is what forms the contract.
3.3 You must be 18 or over. You confirm you are taking the membership for business purposes.
3.4 Availability is not guaranteed until we confirm. Where we cannot supply what you booked, we will offer a comparable alternative or refund anything paid for that period.
4. Fees, payment and taxes
4.1 The fee is the rate shown at the time of booking, or the rate on the Order Form. Rates are per person, per period. Current published rates are from €12 per day, €45 per week, €69 per fortnight and €95 per month. Rates may change for future memberships; a change never affects a period already paid for.
4.2 Fees are payable in advance, by invoice or on site, before the period begins. Where a membership renews, each period is payable before it starts.
4.3 The fee for a period is earned when that period begins and is not refundable, except where these Terms say otherwise.
4.4 All fees are exclusive of VAT. VAT is added where chargeable.
4.5 Fees are payable in full, without deduction, set-off or counterclaim. If you are required by law to withhold or deduct any amount from a payment, the amount payable is increased so that we receive the full fee. No withholding arises on a supply of services of this kind, and this paragraph is here for the case where someone treats it otherwise.
4.6 Bank charges and transfer costs are yours, so that we receive the full invoiced amount.
4.7 If a fee is unpaid more than fourteen days after its due date we may suspend access, without prejudice to our other rights. Suspension does not release you from paying. You reimburse us the reasonable costs we actually incur in recovering an unpaid fee.
4.8 Where a deposit is stated at booking or on the Order Form, it does not bear interest, may not be set against a fee, secures anything you owe us, and is returned within thirty days of the membership ending, less any sum then properly due.
4.9 Someone else may pay on your behalf. That does not make them a party to these Terms or give them any rights under them, and you remain responsible for payment in full and on time.
5. Term, renewal and ending it
5.1 A membership runs for the period booked, and no longer.
5.2 A monthly membership renews for further one-month periods until either of us gives notice. You may give notice at any time before the next period starts. We will give at least thirty days' notice. Day, week and fortnight memberships do not renew.
5.3 Continued use after a period ends does not renew or extend a membership, and does not create any arrangement of indefinite duration. If you keep using the floor after a period has ended without booking a new one, we may charge you at the daily rate then in force for each day of continued use, and that is a fresh membership on these Terms, not a continuation of the old one.
5.4 You may cancel a booked period before it starts, at no charge, from your dashboard or your confirmation link. Once a period has started, its fee is earned.
5.5 We may end a membership immediately, by written notice, if you materially breach these Terms and do not put it right within seven days of us asking; if a fee is unpaid thirty days after written demand; or if you become unable to pay your debts. Article 6.4, Article 7 and Article 9.4 are material.
5.6 We may end any membership on thirty days' written notice, and on shorter notice where our own right to the building ends on shorter notice. If we do, we refund the unused part of anything paid in advance, and that refund is your only remedy. We are not liable for your relocation costs, lost contracts, lost profit or anything similar.
5.7 No membership continues beyond the date our own right to use the building ends. We will tell you if that date is approaching and it affects you.
5.8 Ending a membership does not affect anything either of us owed before it ended. Articles 2, 7, 8 and 10 survive.
6. Using the floor
6.1 Hours. The floor is open during the hours published from time to time. Access credentials are personal and not transferable. Do not admit anyone to the building who is not with you, and do not hold doors for people you do not know.
6.2 Noise. Take calls in a booth or a meeting room. Keep conversation at a level that works for people around you.
6.3 Your things. Do not leave valuables unattended. We are not responsible for anything lost, damaged or taken. Insure your own equipment.
6.4 Guests. Your guests are your responsibility and must follow these rules. Guests are received at reception and are not left unaccompanied.
6.5 Shared areas. Clear up after yourself, in the kitchen and everywhere else. Label anything you leave in the fridge; we clear it weekly.
6.6 No smoking indoors. Observe the building's quiet hours, parking rules and the instructions of the reception team.
6.7 Damage. You pay for damage you or your guests cause beyond ordinary wear.
6.8 Meeting rooms are a separate service, arranged by enquiry and charged separately, currently from €80 per two-hour slot. A membership does not include meeting room time unless the Order Form says so.
7. What you may not use it for
7.1 Nothing unlawful, and nothing that harasses, threatens or endangers anyone.
7.2 Nothing that disturbs other members, exceeds the capacity of what you have booked, or brings more people onto the floor than you have paid for.
7.3 Not as a registered business address. You may not register or file our address with the Kosovo Business Registration Agency, the Tax Administration of Kosovo, a bank, a court or any other authority as the registered business address, correspondence address or administrative address of any company, branch or other entity, and you may not hold it out as one, without a separate written agreement with us. That is a different service, it is regulated, and it is not part of a membership.
7.4 If you register our address in breach of Article 7.3 you shall, within fifteen days of us asking, procure that the entity files the change of its registered address and give us evidence that it has been registered. For each day of delay after that you shall pay twenty euro, capped at thirty days of delay, that is, six hundred euro in total. We declare this is a genuine pre-estimate of what the breach costs us: exposure to service of official and court documents at our address, exposure to our own compliance obligations in respect of an entity we have no file on, the administrative burden of handling and returning correspondence, and the inability to offer the address to a client who has contracted for it. This amount does not accrue for delay caused by the registry or by anything else outside your reasonable control, provided you show us you filed on time. We may also notify any authority in writing that we do not consent to the use of our address, and you authorise us to do so.
7.5 We do not accept post for members. We do not sign for, or acknowledge receipt of, any court document, enforcement document or other procedural act on your behalf. Being on the floor is not authority for anyone to serve documents on you at our address.
7.6 We may suspend or end access for serious or repeated breach of this Article, without a period to put it right where the breach is one of Article 7.1 or 7.3.
8. Liability
8.1 Our total liability to you, for any claim or series of connected claims, is limited to the fees you actually paid us in the twelve months before the event that gave rise to it.
8.2 We are not liable for indirect or consequential loss, loss of profit, loss of business, loss of data or loss of reputation, nor for interruption to any service including internet, power, heating or building access, nor for anything caused by circumstances outside our reasonable control.
8.3 Nothing in these Terms excludes or limits liability that cannot be excluded or limited under the law of the Republic of Kosovo, including liability for damage caused intentionally or by gross negligence.
8.4 You indemnify us against claims, proceedings, fines, losses and reasonable costs, including advocate's costs, arising from your use of the floor, from anything you do in breach of these Terms, and from any use of our address in breach of Article 7.3.
9. Your information
9.1 We process your personal data as an independent controller under Law No. 06/L-082 on the Protection of Personal Data, to provide and manage your membership, to communicate with you about it, to keep the building secure and to meet our legal obligations.
9.2 What we hold: your name, contact details, company, booking history, payment records, and building access and reception records. Marketing email is separate, is only sent if you opt in, and you can stop it at any time.
9.3 We keep contract and billing records for six years after a membership ends. We do not sell your data.
9.4 You have the rights the law gives you, including access, correction, erasure and objection. Write to contact@artanagroup.com. Our full Privacy Policy forms part of this agreement.
10. General
10.1 Changes. We may change these Terms. The version and date at the top will change, we will publish the new version, and for material changes we will tell you and, where a membership is running, give you at least thirty days' notice before they apply to it. Booking or renewing after a change means you accept the version current at that time.
10.2 Whole agreement. These Terms, with the Order Form where there is one, the confirmation and the Privacy Policy, are the whole agreement about your membership and replace anything said before. Nothing said in a conversation, an email or a brochure adds to them.
10.3 Transfer. You may not transfer your membership or your rights under it. We may transfer ours on written notice.
10.4 If a part fails. If any provision is or becomes invalid, the rest stays in force. Not enforcing something once is not giving it up.
10.5 Notices. In writing, to the email addresses each of us has given. Email is treated as received on the next working day, unless it bounces.
10.6 Language. English is the operative version of these Terms. Any translation is provided for convenience only.
10.7 Governing law. The law of the Republic of Kosovo, and in particular the general provisions of Law No. 04/L-077 on Obligational Relationships.
10.8 Disputes. The court in Prishtina having subject matter jurisdiction over commercial disputes decides any dispute. Before starting proceedings we will both try in good faith to sort it out by discussion.
